COMPANY SECRETARY
Responsibilities
Provide advice on the provisions of the Companies Act 2016, Bursa Malaysia Securities Berhad Listing Requirements, Capital Markets and Services Act 2007 and Securities Commission Malaysia (SC) guidelines.
Ensure all statutory registers required under the Companies Act 2016 are properly maintained and updated within the prescribed timelines.
Prepare and lodge all statutory returns and documents with the Companies Commission of Malaysia (SSM), Securities Commission Malaysia (SC) and Bursa Malaysia accurately and within the stipulated deadlines.
Prepare and coordinate board papers for timely distribution to the Board of Directors.
Organise, coordinate and attend Board, shareholders', Audit Committee, and other Board committee meetings.
Issue meeting notices, prepare meeting agendas and manage proxy forms and related documentation.
Record meeting proceedings and prepare accurate minutes in a timely manner.
Act as the key liaison between the Company and regulatory authorities, government agencies, external advisers and other stakeholders.
Ensure compliance with applicable statutory, regulatory and corporate governance requirements, and provide guidance on governance best practices.
Requirements
Member of a professional body prescribed under the Companies Act 2016 and qualified to act as a Company Secretary.
Strong knowledge of the Companies Act 2016 and statutory compliance requirements.
Well-versed in Bursa Malaysia Listing Requirements, Capital Markets and Services Act 2007 and Securities Commission Malaysia guidelines.
Good understanding of corporate governance principles and relevant legislation affecting listed companies.
Minimum of five (5) years of relevant experience in company secretarial, corporate governance and regulatory compliance functions, preferably in a public listed company.
Excellent interpersonal, communication, and stakeholder management skills with strong written and spoken English.
Meticulous, organised and able to manage multiple priorities while meeting tight deadlines.
High level of integrity, professionalism and discretion in handling confidential information.
Self-motivated, proactive and able to work independently as well as collaboratively in a team environment.
